Terms of service

These terms are an agreement between Metristack Technologies Limited, a company incorporated in Nigeria with RC number 8813417, which operates Pletopay (“Pletopay”, “we”, “us”) and the business that opens a Pletopay account (“you”). They cover the dashboard, the API, hosted checkout, the checkout popup, payment links, invoices, the SDKs and the MCP server.

1.Accepting these terms

By creating an account or using Pletopay, you accept these terms on behalf of your business and confirm that you are authorised to do so. If you do not accept them, do not use Pletopay.

These terms include the Acceptable use policy, the Data processing agreement and the fees on the Pricing page. The Privacy policy explains how we handle personal data.

2.What Pletopay is

Pletopay is software that lets businesses in Nigeria accept and manage payments made by bank transfer. It provides virtual account numbers for your customers to pay into, payment confirmation, hosted checkout and a checkout popup, payment links, invoices, subscriptions billed by invoice, customer records, subaccounts and splits, transfers, refunds, settlements, reports and webhooks.

Pletopay is a technology provider. It is not a bank, does not take deposits and does not lend. Pletopay is a product of Metristack Technologies Limited. Accounts and the movement of funds are provided by a partner bank licensed by the Central Bank of Nigeria. Your funds are held in accounts at that bank.

Pletopay accepts bank transfers only. It does not offer cards, wallets, direct debit or automatic debits. Subscription invoices are paid by your customer each period; we never take money from a customer’s account.

3.Your account

  • Pletopay is for businesses registered in Nigeria: limited companies, business names (sole proprietors) and partnerships. The person who opens the account must be at least 18 and authorised to bind the business.
  • Information you give us about your business, its directors, owners and signatories must be true, complete and kept up to date. Tell us promptly about changes to ownership, control, directors or what you sell.
  • Test mode is free and moves no real money. Do not use it for real customers or real payments.
  • Live mode opens when your email address is verified and your business verification is approved. We may ask for more information at any time, including after approval, and may limit live features until we receive it.
  • We verify businesses and the people behind them because Nigerian anti-money-laundering law and our partner bank require it. You confirm that the directors, owners and signatories whose details you give us know that you are sharing them and have seen our Privacy policy.
  • You decide who joins your team and with which role. You are responsible for what your team members do with their access.

4.Keeping your account secure

  • Keep passwords, secret API keys and webhook signing secrets confidential. Secret keys belong on your servers only. Publishable keys may appear in your web pages; they cannot move money.
  • Turn on two-factor authentication. Some live actions in the dashboard require it, such as sending money, changing a payout account and revealing a live key.
  • A secret key gives full access to your account through the API, including sending money, and API requests are not asked for two-factor codes. You can limit a key to your own IP addresses. If you connect a key to other software, such as the Pletopay MCP server or an AI assistant, you are responsible for what that software does with it.
  • We treat every instruction given with your credentials or keys as given by you.
  • Tell us straight away at hello@pletopay.com if you think a password or key has been exposed. We may disable keys or end sessions to protect your account.

5.Receiving payments

  • For each payment, we give your customer bank account details to pay into. A single-use account expires after the time you set (30 minutes unless you choose otherwise, between 5 minutes and 3 hours). An account set to accept the exact amount refuses any other amount at the customer’s bank.
  • A dedicated account belongs to one customer and accepts any amount at any time. Each transfer into it is a separate payment.
  • A payment is confirmed only when its status is succeeded in the dashboard or API, or in a signed webhook. A redirect, a popup callback, a screenshot or a bank receipt from your customer is not confirmation. Release goods or services only on confirmation; we are not responsible for losses caused by relying on anything else.
  • Confirmation depends on your customer’s bank, our partner bank and the interbank network. We do not guarantee how long it takes.
  • When your customer pays into an account we provide for your payment, the amount credited counts as paid to you.

6.Money held for review

Some transfers cannot be applied automatically: money that arrives after an account has expired, a second payment for the same request, a payment into a closed account, an amount different from the one requested, or money from an account on a blocklist. We hold this money outside your available balance and review it.

After review we either apply it to your balance, in which case the normal fee applies, or return it to the account that sent it, less the cost of the transfer. We may ask you for information to decide. Money we cannot link to any business is not yours until we have confirmed that it is.

7.Fees and taxes

You pay the fees on the Pricing page, or any fees we have agreed with you in writing. The standard fee is 1% of each payment, capped at ₦700 in total. Charges set by banks or by law are passed through at cost: ₦50 stamp duty on amounts of ₦10,000 or more, and the bank’s transfer fee plus VAT on transfers, refunds and settlements.

  • Fees on a payment are taken before the net amount reaches your balance. Transfer charges are taken from your balance when the transfer is made.
  • Pletopay charges no fee for refunds, but the fee on the original payment is not returned.
  • Fees are in naira. VAT is not currently charged on Pletopay’s fee. If the law requires it, we will add it after giving you notice.
  • You are responsible for your own taxes, including VAT on what you sell and the receipts you owe your customers.
  • We will give you at least 30 days’ notice of an increase in our fees. A change to a charge set by a bank or by law applies from when it takes effect, and we will tell you as soon as we can.

8.Balances and settlements

  • Your balance is a record of the money we owe you. It is held, together with the balances of other businesses, in accounts at our partner bank, and recorded separately for each business. It is not a deposit with Pletopay, and no interest is paid on it.
  • Settlements are paid to the settlement account you verify in the dashboard. It must be a Nigerian bank account in your business’s name. A new or changed settlement account can be used 24 hours after it is added.
  • You choose when settlements happen: daily, weekly, monthly or only when you ask. You can set a minimum amount and an amount to keep back in your balance.
  • If money is credited to you by mistake, if a bank recalls a payment, or if a credit turns out not to have been received, we may correct your balance, take the amount from future funds, or ask you to repay it. If your balance falls below zero, you owe us the difference and must pay it when we ask.

9.Transfers and refunds

  • Transfers to third parties are sent from your available balance to bank accounts in Nigeria. Live transfers are turned on for each business after a review.
  • We check the account name with the receiving bank before sending, but you are responsible for the details you give us and for the purpose of the transfer. A transfer completed to the account you specified cannot be reversed by us.
  • If a bank has not confirmed the outcome of a transfer, it stays processing until the bank confirms. We never mark a transfer as failed without confirmation. Do not send it again while it is processing.
  • A refund is linked to the original payment and goes back to the account that paid. If that account is not known, you give us an account, and we check it with the receiving bank. Refunds cannot exceed the amount received. The payment shows as refunded only once the refund succeeds.
  • If a payment was split with subaccounts, you bear the whole refund.
  • We set limits on money leaving your account. By default: ₦5,000,000 per transfer or refund, ₦20,000,000 per day and 1,000 transfers per day. Your current limits are shown in the dashboard. We may change them, including at your request after review.

10.Your customers

  • You are the seller. You are responsible for your goods and services, prices, delivery, refund policy and customer service, and for complying with the Federal Competition and Consumer Protection Act 2018 and other laws that protect your customers.
  • Your customers see your business name as the account name and on our payment pages. Make sure your customers know who they are paying and how to contact you.
  • Receipts and invoices we email to your customers are sent on your behalf and in your name.
  • Bank transfers are authorised by the payer at their own bank, so there is no chargeback process. Complaints about what you sold are for you to resolve. If a bank or an authority recalls a payment, the section on balances applies.
  • You must have a lawful basis for the customer data you send us, and tell your customers that Pletopay processes payments for you. The Data processing agreement sets out how we handle that data.

11.Subaccounts and splits

You may share payments with subaccounts, such as sellers or partners on your platform. You are responsible for your arrangements with them, for the accuracy of their payout details and for refunds. We pay each subaccount’s share to its verified account on its settlement schedule.

12.Fraud, compliance and holds

We monitor activity to prevent fraud, money laundering, terrorism financing and breaches of sanctions, as Nigerian law and our partner bank require. To do so, acting reasonably, we may:

  • delay or hold settlements, transfers and refunds;
  • place a payment under review, or hold money from a sender account we have blocked;
  • block a bank account, email address, phone number or IP address from using Pletopay;
  • set or lower limits, or stop money leaving your account;
  • ask for more information or new verification; and
  • suspend live access.

We do this where we suspect fraud or a breach of these terms or the Acceptable use policy, where the law, a regulator, a court or our partner bank requires it, where activity is unusual for your business, or where there is a risk of loss, such as a balance below zero.

We will tell you why, unless the law prevents us. We may report activity to the Nigerian Financial Intelligence Unit and other authorities. Holds last only as long as reasonably needed, unless a lawful order requires longer.

Some of these checks are automatic, such as limits and blocklist matches. You can ask for a person to review any automatic decision by writing to hello@pletopay.com.

13.Availability and changes to the service

  • We work to keep Pletopay available but do not promise uninterrupted service. Banks, the interbank network and other providers we rely on can be unavailable.
  • To protect funds, we may pause some features for everyone, such as creating payments, transfers or settlements, while we deal with an incident. We will tell you in the dashboard or by email.
  • Breaking changes to the API are released as a new dated version. We announce the removal of an API version at least 6 months in advance.
  • We may change or improve Pletopay. We will give you at least 30 days’ notice before removing a feature you rely on, unless the law or our partner bank requires a faster change.

14.Intellectual property

Pletopay and its software, content and brand belong to us. While these terms apply, you may use Pletopay for your own business. The SDKs and the MCP server are open source and also covered by their own licences.

You may not copy, resell or reverse engineer Pletopay, or use it to build a competing service. You keep all rights in your business name and brand; you allow us to show them on your payment pages, receipts and invoices. We will not name you as a customer without your permission.

15.Confidentiality and data protection

Each of us will keep the other’s non-public business information confidential, except where disclosure is needed to provide the service or is required by law, a regulator or our partner bank.

Each of us will comply with the Nigeria Data Protection Act 2023. The Data processing agreement applies to your customers’ data, and the Privacy policy to everything else.

16.Your promises and indemnity

You promise that you are authorised to accept these terms, that the information you give us is accurate, and that your business and your use of Pletopay are lawful.

You will cover our losses, including reasonable legal costs and fines, arising from your breach of these terms, the goods or services you sell, claims by your customers or subaccounts, or the use of your credentials or keys.

17.Liability

  • Nothing in these terms limits liability for fraud, or any other liability that cannot be limited under Nigerian law.
  • We are not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.
  • We are not liable for delays or failures caused by banks, the interbank network, your customers, your own systems or events beyond our reasonable control, or for losses from relying on a payment that was not confirmed.
  • Our total liability for all claims is limited to the fees you paid Pletopay in the 12 months before the event giving rise to the claim. This limit does not reduce our obligation to pay you the balance we owe you.

18.Closing your account

You may close your account at any time by writing to hello@pletopay.com from the email address of an owner of the account. We complete or cancel pending payments, transfers and refunds, finish any required checks, and then pay the remaining balance, less any amount you owe us, to your verified settlement account.

We may end these terms with 30 days’ notice. We may suspend or close your account immediately for a serious or repeated breach, a breach of the Acceptable use policy, suspected fraud, insolvency, or where the law, a regulator or our partner bank requires it. Money held under the section on fraud, compliance and holds is paid out when the law allows.

After closure, we keep records for the periods in the Privacy policy and can give you copies of your statements on request. Sections that by their nature continue after closure, such as fees owed, indemnity and liability, continue to apply.

19.Changes to these terms

We will give you at least 30 days’ notice of material changes, by email to your account owners and in the dashboard. Changes required by law, a regulator or our partner bank, or needed for security, may take effect sooner. If you continue to use Pletopay after a change takes effect, you accept it; if you do not accept it, you may close your account before then.

20.Notices and complaints

We contact you by email to your account owners and administrators and in the dashboard. You can contact us, including for formal legal notices, at hello@pletopay.com. You agree that these terms and our records may be made and kept electronically.

To make a complaint, write to us with the relevant payment, transfer or refund reference. We will acknowledge it, investigate, and tell you the outcome and the reasons for it.

21.Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, we will first try to settle it by good-faith discussion between senior representatives for 30 days. If it is not settled, the courts of Nigeria have exclusive jurisdiction. Either of us may ask a court for urgent relief at any time.

22.General

These terms are the whole agreement between us about Pletopay. You may not transfer them without our written consent; we may transfer them to a successor business after giving you notice. If part of these terms is unenforceable, the rest continues to apply. Not enforcing a right straight away does not waive it. Nothing in these terms creates a partnership or employment relationship.
